Article 1 - Purpose
These terms and conditions govern the sale of clothing and accessories by the company BLACK MATRIX, located at 3 Passage des Corbeaux, 68200 Mulhouse, trading as SYNDEED.

Article 2 - Price
The prices of our products are indicated in euros, inclusive of all taxes, unless otherwise stated, and excluding processing and shipping costs. As a BLACK MATRIX company, VAT is applicable at a rate of 20%. If you are ordering from a country other than mainland France, you are the importer of the product(s) in question. Customs duties, other local taxes, import duties, or state taxes may be payable. These duties and amounts are not the responsibility of BLACK MATRIX. They are your responsibility and must be paid by you, both in terms of declarations and payments to the relevant authorities and organizations in your country. We advise you to inquire about these matters with your local authorities.

All orders, regardless of origin, are payable in euros. BLACK MATRIX reserves the right to modify its prices at any time, but the product will be invoiced based on the price in effect at the time the order is validated and subject to availability. The products remain the property of BLACK MATRIX until full payment is received.

Please note: as soon as you take physical possession of the ordered products, the risk of loss or damage to the products is transferred to you.

Article 3 - Orders
Orders for individuals are placed exclusively via the website www.syndeed.com. Contractual information is presented in French and will be confirmed no later than when your order is validated.
BLACK MATRIX reserves the right not to process a payment or confirm an order for any reason whatsoever, and particularly in the event of supply problems or difficulties concerning the order received.

Article 4 - Order Validation
Any order placed on the website www.syndeed.com implies acceptance of these General Terms and Conditions. Confirmation of your order constitutes your full and complete acceptance of these general terms and conditions of sale, without exception or reservation. All data provided and the recorded confirmation will serve as proof of the transaction. You acknowledge having full knowledge thereof. The order confirmation will constitute a signature and acceptance of the transactions carried out. A confirmation email regarding the processing of your order will be sent to the email address provided during the transaction. Article 5 - Payment
By confirming your order, you agree to pay the indicated price.
Payment for your purchases is made by credit card through the secure STRIPE system or via the PayPal online payment platform.

Article 6 – Right of Withdrawal and Returns
In accordance with the provisions of Article L.121-21 of the French Consumer Code, you have a 14-day withdrawal period from the date of receipt of your products to exercise your right of withdrawal without having to provide any justification or pay any penalty.
Returns must be made in their original condition and complete (packaging, accessories, instructions). You are responsible for the condition of the returned items. Any damage to the product during this period may invalidate your right of withdrawal.
Return requests must be made by email to contact@syndeed.com. The customer will receive a return slip to print along with the necessary instructions for returning their item(s). In the event of exercising the right of withdrawal or requesting a return within the 14-day period, BLACK MATRIX will refund the returned products within 10 days of receiving your return, using the same payment method used for the original order. Return shipping costs will not be charged to the customer.

In the event of a product exchange request, the price of the returned products will be refunded within 10 days of SYNDEED receiving the product, and a new order must be placed (the customer will be responsible for the shipping costs).

Article 7 - Availability
Our products are offered as long as they are visible on the website www.syndeed.com and while stocks last. If a product is unavailable after you place your order, we will inform you by email. Your order will be automatically canceled, and if your bank account has already been debited, you will be refunded within 7 days.

Article 8 - Delivery
Products are delivered to the delivery address indicated during the ordering process, within the timeframe specified on the order confirmation page. In the event of a shipping delay, you will be notified by email of any potential impact on the delivery timeframe initially provided. Orders are shipped only from Monday to Friday. An order placed before 2:00 PM (Paris time) can be shipped the same day. An order placed after 2:00 PM on Friday will only be shipped the following Monday. The Chronopost 24-hour delivery time (next day) begins when the package is shipped, not when the order is placed.

In accordance with legal provisions, in the event of a delivery delay, you have the option to cancel the order under the terms and conditions defined in Article L 138-2 of the French Consumer Code. If you receive the product in the meantime, we will refund the purchase price and shipping costs in accordance with Article L 138-3 of the French Consumer Code.

For deliveries made by a carrier, BLACK MATRIX cannot be held responsible for delivery delays due solely to the customer's unavailability after several delivery attempts.

Article 9 - Warranty
All our products are covered by the legal guarantee of conformity and the guarantee against hidden defects, as provided for in Articles 1641 et seq. of the French Civil Code. In the event of a product's non-conformity, it may be returned, exchanged, or refunded free of charge.

All claims related to product non-conformity must be made by email within 30 days of the delivery date.
Products must be returned to us in the condition in which you received them, with all components (accessories, packaging, instructions, etc.). Shipping costs will be refunded based on the invoiced rate, and return shipping costs will be covered by SYNDEED via a prepaid return shipping label.

Article 10 - Liability
The products offered comply with current French legislation. BLACK MATRIX cannot be held liable for non-compliance with the legislation of the country where the product is delivered. It is your responsibility to check with local authorities regarding the import or use of the products or services you intend to order.

Furthermore, BLACK MATRIX cannot be held liable for damages resulting from misuse of the purchased product.

Article 11 - Applicable Law in Case of Disputes
These terms and conditions of sale are governed by French law. In the event of a dispute, the French courts shall have exclusive jurisdiction.

Article 12 - Intellectual Property
All elements of the website www.syndeed.com are and remain the exclusive intellectual property of BLACK MATRIX. No one is authorized to reproduce, exploit, redistribute, or use in any way whatsoever, even partially, any elements of the website, whether software, visual, or audio. Any simple or hypertext link is strictly prohibited without the express written consent of BLACK MATRIX.

Article 13 - Personal Data
BLACK MATRIX reserves the right to collect personally identifiable information and personal data concerning you. This information is necessary for processing your order, as well as for improving the services and information we provide to you. They may also be transmitted to companies that contribute to these relationships, such as those responsible for the execution of services and orders, for their management, execution, processing, and payment, such as La Poste (the French postal service). This information and data are also retained for security purposes and to comply with legal and regulatory obligations.

In accordance with the French Data Protection Act of January 6, 1978, you have the right to access, rectify, and object to the personal information and data concerning you. You may exercise this right by simply sending an email to contact@syndeed.com.

Article 14 - Archiving and Proof
BLACK MATRIX will archive order forms and invoices on a reliable and durable medium, constituting a faithful copy in accordance with the provisions of Article 1348 of the French Civil Code.
BLACK MATRIX's computerized records will be considered by all parties concerned as proof of communications, orders, and payments.
